    Terms of Service

    These terms cover what you can expect from Specthrive and what we expect from you. We've written them in plain language. Where something is a legal-sounding limit, we've tried to explain why.

    Agreement

    By creating a Specthrive account or using the service, you agree to these Terms of Service and our Privacy Policy. If you don't agree, please don't use the service. These terms are between you and Specthrive, Inc. ("Specthrive," "we," "us").

    What Specthrive is — and isn’t

    Specthrive is a planning and coordination platform for individuals and families navigating support, therapy, education, and care. We help you organize plans, track progress, share access with the people on your team, and use AI-assisted tools to draft and summarize.

    Specthrive is not:

    Five things we’re explicitly not

    A medical service

    We don't provide medical advice, diagnosis, or treatment. We are not a covered entity under HIPAA today. Our AI features draft and summarize; they do not diagnose.

    A legal service

    We don't provide legal advice. Information about IEPs, 504 plans, custody, guardianship, or other legally-significant arrangements is reference material, not legal counsel.

    An educational service

    We are not a school, an education agency, or a FERPA-regulated actor. We are a family-directed coordination tool that schools may interact with at a family's request.

    A clinical or therapy service

    Coaches, therapists, and other professionals you invite to your team operate under their own licensure and engagement terms — not under ours.

    An emergency service

    If you or someone you care for is in immediate danger, call 988 (US Suicide & Crisis Lifeline) or 911. Specthrive should never be used to summon urgent help.

    Eligibility and accounts

    You must be at least 18 years old to create an account on your own behalf. People between 13 and 17 may use Specthrive only when invited to a profile by a parent or guardian who has accepted these terms on their behalf.

    You're responsible for keeping your credentials secure, for all activity under your account, and for the accuracy of the information you enter. If you suspect unauthorized access, contact security@specthrive.com right away.

    Profiles you manage on someone else’s behalf

    When you create a profile to manage on behalf of a child, dependent, or other person, you confirm that you are the parent, legal guardian, or otherwise authorized caregiver for that person, and that you have the right to enter the information you're entering. We record this attestation with a timestamp at profile creation.

    You remain the controlling party for that profile's data while you manage it. You can export it, delete it, or transfer management to another authorized caregiver at any time.

    Acceptable use

    Don't use Specthrive to:

    • Harass, threaten, defame, or abuse anyone — on the platform or off.

    • Upload content you don’t have the right to share.

    • Reverse engineer, scrape, or extract data at scale beyond the export tools we provide.

    • Attempt to bypass security controls, access controls, or consent gates.

    • Use Specthrive for commercial purposes that aren’t family or care coordination — e.g., as a CRM, a marketing tool, or a contact list for unrelated outreach.

    • Submit content that’s illegal under applicable law, including child sexual abuse material, content that facilitates self-harm of others, or content that violates someone’s privacy without consent.

    • Send unsolicited messages to people you’ve invited to your team beyond what’s necessary for coordination.

    We may remove content, suspend accounts, or terminate access for violations. Where we can, we'll explain why; some violations require immediate action without prior notice.

    Your content

    You own the content you create or upload. By using Specthrive, you grant us a limited, worldwide, royalty-free license to host, process, transmit, render, and back up that content for the purpose of operating the service for you. The license ends when you delete the content (subject to backup retention timelines) or close your account, except for any content you've shared with team members under their own grants.

    Sharing and team members

    When you invite a team member, you grant them access to a defined set of domains (plans, calendar, documents, etc.) per the sharing controls in your Privacy settings. They're bound by their own user agreement with us when they accept the invite. You're responsible for the people you invite — for confirming you have the right to share the information you're sharing, and for revoking access promptly when the relationship changes.

    Documents are never shared by default. Shared content is visible to invited team members only within the domains you've granted. Audit logs record what was shared, with whom, and when.

    Subscriptions, credits, and billing

    Renewals & cancellation

    Specthrive offers free and paid plans. Paid plans renew automatically until you cancel. You can cancel anytime from Settings → Billing; cancellation takes effect at the end of your current billing period. Some features consume AI credits, which are included with paid tiers and available as one-time top-up packs.

    Payments & refunds

    We use Stripe (via Autumn) to process payments. Refunds are issued at our discretion within 30 days of purchase for unused service. Tax is added at checkout where required by your local jurisdiction.

    Pricing changes

    Pricing for new tiers, features, or changes to existing tiers takes effect on your next renewal cycle, with at least 30 days' notice for material changes that affect your active subscription.

    AI features

    Specthrive offers AI-assisted features (Navi chat, recommendations, summaries, drafting tools) that you can turn on or off per capability per profile. AI output is generated, not authored — treat it as a starting point, not a final word. Don't rely on AI output for medical, legal, educational, or clinical decisions.

    You're responsible for what you do with AI output. We log that you used a feature, but we don't police what you act on. If an AI suggestion is wrong or harmful, please flag it and we'll investigate.

    Termination

    You can close your account anytime. We can suspend or terminate accounts for violations of these terms, for security reasons, or if continuing to operate the service for you would be unsafe or unlawful. Where reasonable, we'll give notice and an opportunity to remedy.

    On termination, you can request an export of your data within 30 days. We retain audit records of consent decisions, security events, and billing history for as long as legally required, but your active content is deleted on the schedule described in our Privacy Policy.

    Disclaimers

    Specthrive is provided on an “as is” and “as available” basis. We don't guarantee that the service will be uninterrupted, error-free, or that AI output will be accurate or appropriate for your situation. We disclaim all implied warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

    You acknowledge that Specthrive is not a substitute for professional medical, legal, educational, or therapeutic advice, and that decisions about care, treatment, education, or legal arrangements are yours to make in consultation with appropriate licensed professionals.

    Limitation of liability

    To the maximum extent permitted by law, Specthrive and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising out of or in connection with your use of the service, even if we've been advised of the possibility of such damages.

    Indemnification

    You agree to indemnify and hold Specthrive harmless from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from (a) your use of the service in violation of these terms, (b) content you uploaded, (c) your violation of someone else's rights, or (d) your acting on a profile you were not authorized to manage.

    Governing law and disputes

    These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. The federal and state courts of Delaware have exclusive jurisdiction over any dispute arising out of these terms or your use of the service, except as required by your local consumer protection laws.

    Before filing a claim, please email legal@specthrive.com with a description of the dispute and the resolution you're seeking. Most issues can be resolved this way.

    Changes to these terms

    We'll publish updated terms on this page. For materially significant changes, the app will prompt you to acknowledge the new version on your next sign-in, and we'll send a notice to your account email. Non-material updates (typo fixes, clarifications) update the version number without an acknowledgment prompt. The current version and effective date are at the top of this page.
